SparkBox Studio Club Partner Agreement
Introduction

This Club Partner Agreement is entered into between:

operated by Lawrence Cooke as a sole trader
("SparkBox")

The Club confirms that the person completing this Agreement is authorised to act on behalf of the Club and to grant the permissions set out below.

3. Approved Club Branding
The Club authorises SparkBox Studio to use the following Club intellectual property for the purposes set out in this Agreement:

Approved Club colours

Any other artwork specifically supplied and approved by the Club
The Club confirms that, to the best of its knowledge, it owns, controls or is otherwise authorised to permit use of the branding supplied to SparkBox Studio.
4. Approved Products
The Club authorises SparkBox Studio to reproduce the approved Club branding on the following products:

Club Lightbox
-
Club Wall Clock
-
Lightbox and Clock Bundle
Any additional product type must be separately agreed with the Club before being offered for sale.
5. Permission to Use Club Intellectual Property
The Club grants SparkBox Studio a non-exclusive, revocable permission to reproduce and display the approved Club branding solely for the purpose of:

designing approved SparkBox products;

manufacturing products to fulfil customer orders;
-
advertising and promoting the approved products;
-
displaying product photographs and digital mock-ups;
-
selling approved products through SparkBox Studio's website;
-
selling approved products through third-party marketplaces including Etsy and eBay;
-
promoting approved products through SparkBox Studio-controlled social media, advertising and marketing channels.
Ownership of the Club's name, crest, logo, branding and associated intellectual property remains with the Club or its respective rights owner.
Nothing in this Agreement transfers ownership of the Club's intellectual property to SparkBox Studio.
6. Artwork Approval
Before the Club's collection goes live, SparkBox Studio will provide artwork or product mock-ups for approval.
The Club confirms that the following artwork has been reviewed and approved:

SparkBox Studio will not intentionally make substantial changes to the approved Club branding without obtaining further approval.
7. Partnership Model
The Club has selected:
Standard Club Partner Commission Scheme
Current commission rates:

Lightbox: £5 per qualifying sale
-
Wall Clock: £4 per qualifying sale
-
Lightbox & Clock Bundle: £8 per qualifying sale
Postage charges, refunds, cancellations, fraudulent transactions and other excluded transactions are not commissionable.
Any wholesale arrangement will be agreed separately.
8. Club Promotion
There is no minimum sales requirement.
The Club is not obliged to purchase or hold stock under the standard Club Partner scheme.
SparkBox Studio may provide product images, links, promotional graphics and suggested copy for the Club to share with its players, members, parents and supporters.
9. Termination
Either SparkBox Studio or the Club may terminate the partnership by written notice.
Following termination, SparkBox Studio will stop accepting new orders for Club-branded products within a reasonable period.
SparkBox Studio may continue to process and fulfil orders already received before termination.
The Club may request removal of Club-branded product listings and promotional materials following termination.
10. Agreement to Club Partner Terms
By signing or electronically submitting this Agreement, the Club confirms that:

the representative is authorised to act on behalf of the Club;

the Club grants SparkBox Studio the permissions described above;
-
the Club has reviewed and approved the agreed product artwork;

the Club has read and agrees to the SparkBox Studio Club Partner Terms & Conditions, Version 1.0;
-
the information supplied in this Agreement is accurate to the best of the representative's knowledge.
