SparkBox Studio Club Partner Terms & Conditions

Introduction

Version 1.0 – 18 August 2026

These Terms govern participation in the SparkBox Studio Club Partner Programme.

By entering into a Club Partner Agreement, the Club agrees to these Terms.

1. About SparkBox Studio

SparkBox Studio is operated by Lawrence Cooke as a sole trader and designs and manufactures custom-made lightboxes, wall clocks and related products.

References to "SparkBox", "SparkBox Studio", "we", "us" or "our" mean SparkBox Studio.

References to "the Club", "you" or "your" mean the sports club entering into a Club Partner Agreement with SparkBox Studio.

2. Purpose of the Partnership

The purpose of the Club Partner Programme is to allow SparkBox Studio to design, manufacture, promote and sell products featuring authorised Club branding while providing the Club with an agreed financial return from qualifying sales.

Participation is non-exclusive unless otherwise agreed in writing.

The Club is free to work with other merchandise suppliers.

SparkBox Studio is free to work with other clubs, including clubs competing in the same sport, league or geographic area.

3. Intellectual Property

All ownership rights in the Club's name, crest, logo and other Club branding remain with the Club or the relevant rights owner.

The Club grants SparkBox Studio a non-exclusive licence to use approved Club branding only for the purposes described in the Club Partner Agreement.

This licence includes permission to reproduce the branding in:

  • physical products;

  • product photographs;

  • digital product mock-ups;

  • website listings;

  • social media content;

  • advertising;

  • marketplace listings;

  • promotional graphics.
     

The licence does not permit SparkBox Studio to claim ownership of the Club's intellectual property.

SparkBox Studio may not license or sell the Club's branding to another party independently of the approved SparkBox products.

4. Club Authority
 

The Club confirms that the representative entering into the Agreement has authority to act on behalf of the Club.

The Club also confirms, to the best of its knowledge, that it owns, controls or has sufficient authority to permit SparkBox Studio to use the supplied branding.

If the Club's branding is owned or controlled by another organisation or rights holder, the Club is responsible for obtaining any necessary permission before authorising SparkBox Studio to use it.

The Club must inform SparkBox Studio promptly if it becomes aware of any dispute concerning ownership or authorised use of the branding.

5. Product Approval

SparkBox Studio will create an initial design or product mock-up for Club approval.

Products will not normally be offered for sale until the Club has approved the relevant artwork.

Approval may be recorded through SparkBox Studio's online approval process, email or another written method.

Once approved, SparkBox Studio may use the approved design consistently across product listings and promotional materials without requesting approval for every individual photograph or advertisement.

Material alterations to the Club crest or branding will require further approval.

6. Product Manufacture

SparkBox Studio products are individually manufactured and may contain minor variations resulting from the production process.

SparkBox Studio remains responsible for the manufacture, packaging and fulfilment of products sold directly through SparkBox Studio.

SparkBox Studio may change manufacturing methods, components or suppliers where reasonably necessary, provided the overall approved appearance and intended function of the product are not materially altered.

7. Retail Prices

SparkBox Studio determines the retail price of products sold directly by SparkBox Studio.

Current advertised prices may change from time to time.

Changes to retail pricing do not automatically alter the agreed Club commission unless SparkBox Studio notifies the Club otherwise.

8. Club Commission

Under the standard Club Partner scheme, the Club receives commission on qualifying sales attributed to its Club collection.

Initial commission rates are:

  • £5 per Lightbox;

  • £4 per Wall Clock;

  • £8 per Lightbox & Clock Bundle.
     

A qualifying sale is a completed and paid customer transaction which has not subsequently been cancelled, refunded, charged back or identified as fraudulent.

Commission is not payable on:

  • postage or delivery charges;

  • refunded orders;

  • cancelled orders;

  • chargebacks;

  • fraudulent transactions;

  • replacement products supplied without charge;

  • complimentary or promotional products;

  • orders where no Club commission has been agreed.
     

9. Commission Payments

SparkBox Studio will maintain records of qualifying Club Partner sales.

Commission payments will be made at intervals agreed with the Club.

SparkBox Studio may reasonably withhold commission relating to transactions that remain subject to refund, dispute or chargeback.

The Club is responsible for providing accurate payment details.

Each party is responsible for its own tax, accounting and reporting obligations arising from payments received under the partnership.

10. Attribution

SparkBox Studio may use product listings, referral links, Club codes, internal sales records or other reasonable methods to attribute sales to a Club.

Where a customer purchases a Club-specific product, that sale will ordinarily be attributed to the Club displayed on the product regardless of how the customer reached the SparkBox Studio website.

11. Wholesale Orders

Wholesale purchasing may be offered separately to approved Club Partners.

Unless otherwise agreed:

  • wholesale orders must contain at least five products in total;

  • Lightboxes may be purchased at the current approved wholesale Lightbox rate;

  • Clocks may be purchased at the current approved wholesale Clock rate;

  • wholesale prices do not include a separate discounted bundle rate;

  • wholesale orders must be paid for before manufacture begins.
     

Products purchased wholesale become the Club's stock and the Club may determine its own resale prices.

Club commission is not additionally payable on wholesale purchases.

Wholesale pricing may be amended by SparkBox Studio for future orders.

12. Club Promotion

The Club is not required to achieve a minimum number of sales under the standard Club Partner programme.

The Club may promote approved SparkBox products through its own website, social media, newsletters, messaging groups, events and other appropriate Club channels.

SparkBox Studio may provide marketing material for this purpose.

The Club should not materially alter SparkBox Studio product claims, pricing or product information in a way that could mislead customers.

13. Customer Relationship

For products sold directly by SparkBox Studio, the customer's contract of sale is with SparkBox Studio.

SparkBox Studio is responsible for customer payment processing, order fulfilment, delivery, returns, refunds and customer service in accordance with SparkBox Studio's applicable consumer terms.

The Club is not expected to administer customer orders placed directly with SparkBox Studio.

14. Reputation and Appropriate Use

SparkBox Studio will use reasonable care to present Club branding respectfully and professionally.

Neither party may knowingly use the other's name or branding in a way that is defamatory, misleading, unlawful or reasonably likely to cause significant reputational harm.

The Club may request correction or removal of promotional material that incorrectly represents its branding or relationship with SparkBox Studio.

15. Third-Party Marketplaces

The Club authorises SparkBox Studio to list approved Club products on third-party marketplaces such as Etsy and eBay where SparkBox Studio considers this commercially appropriate.

SparkBox Studio remains responsible for operating its own marketplace accounts and complying with applicable marketplace rules.

If a marketplace or rights owner raises an intellectual property complaint, the Club agrees to provide reasonable assistance confirming SparkBox Studio's authorised use where appropriate.

16. Duration and Termination

The partnership begins when the Club Partner Agreement is accepted.

There is no fixed minimum duration unless separately agreed.

Either party may terminate the partnership by written notice.

SparkBox Studio may suspend or terminate a partnership immediately where:

  • there is a credible dispute about ownership or authority to use Club branding;

  • continued sale may infringe third-party rights;

  • the Club materially breaches these Terms;

  • continued association may reasonably cause significant reputational or legal risk.
     

Following termination, SparkBox Studio will stop accepting new orders for Club-branded products within a reasonable period and may remove relevant listings and promotional material.

Orders already placed may still be completed.

17. Changes to the Programme

SparkBox Studio may update future retail prices, wholesale prices, product availability and operational processes.

Where a change materially affects an existing Club's commission or intellectual property permissions, SparkBox Studio will notify the Club before the change takes effect.

Material amendments to these Terms will be issued as a new version.

Existing Clubs will remain associated with the version they accepted unless revised Terms are subsequently agreed.

18. Data Protection

SparkBox Studio will process contact information supplied by Club representatives for the purpose of administering the Club Partner relationship, responding to enquiries, processing payments and communicating about the partnership.

Personal information will be handled in accordance with SparkBox Studio's Privacy Policy and applicable UK data protection law.

General marketing communications unrelated to administration of the partnership will not be treated as a condition of participation.

19. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Each party remains responsible for its own acts and omissions.

The Club will not be responsible for SparkBox Studio's manufacturing or fulfilment obligations.

SparkBox Studio will not be responsible for promises, discounts or representations made independently by the Club that have not been authorised by SparkBox Studio.

20. Entire Agreement

The Club Partner Agreement together with these Terms represents the agreement between SparkBox Studio and the Club relating to the Club Partner Programme.

Any material variation must be agreed in writing.

21. Governing Law

These Terms and the Club Partner Agreement are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from the partnership, subject to any mandatory legal rights that apply.
